Job Description: 

Role Summary

We are seeking an experienced and highly motivated Assistant Company Secretary & Governance Risk Manager to support the Chief Legal Officer of Anchorpoint, in driving and embedding high standards of corporate governance across the organisation. This is a key role responsible for helping to deliver the Company’s company secretarial, governance and related risk management priorities and initiatives in an efficient, well-controlled and sustainable manner. 

Role Responsibilities

Working closely with, and reporting into the Chief Legal Officer - Anchorpoint, you will: 

 

  • Support the efficient operation of the Board and its Committees, including scheduling, agenda planning, collation and circulation of papers, and minute-taking.
  • Assist with ensuring that the Company complies with applicable corporate, statutory and regulatory requirements, including relevant company law, listing rules (if applicable), codes of corporate governance and internal policies.
  • Coordinate and maintain statutory records, corporate registers, and corporate documentation for the Company and its subsidiaries.
  • Support the design, implementation and continuous improvement of the Company’s corporate governance framework, policies and procedures.
  • Assist with governance risk identification, assessment and monitoring, ensuring that key governance risks are clearly documented and appropriately escalated.
  • Support Board and senior management with governance-related reporting, including preparation of governance sections of annual reports, board evaluation follow‑up, training plans and other disclosures.
  • Help manage and track governance action plans and initiatives to ensure timely completion and effective control.
  • Liaise with internal stakeholders (e.g. Legal, Risk, Compliance, Finance, HR) and external advisers (e.g. regulators, corporate service providers) on governance and company secretarial matters.
  • Support, collaborate and engage with SCB Group Company Secretariat team, in promoting a strong culture of integrity, transparency and good governance across the organisation.

Role Requirements

  • Academic or Professional Education/Qualifications
  • Professional company secretarial or legal qualification (e.g. ICSA/Chartered Governance qualification or equivalent) preferred.
  • Proven experience in a company secretarial, corporate governance or related risk/compliance role, ideally within a regulated or listed company environment.
  • Strong understanding of corporate governance principles, company law and regulatory requirements relevant to the Company’s operations.
  • Demonstrable experience in Board/Committee support, including preparing agendas, papers and minutes.
  • Experience with governance risk management, policy frameworks and controls is highly advantageous.
  • Excellent written and verbal communication skills, with the ability to produce clear, concise and accurate documentation. Proficiency in English and Chinese (Knowledge of Mandarin is an advantage)
  • Strong organisational skills, with the ability to manage multiple priorities, work to tight deadlines and maintain attention to detail.
  • High level of integrity, discretion and professional judgment.
  • Confident user of Microsoft Office and relevant governance/board portal tools.
