Job Description: 

Job Summary

•    Manage a team of Legal Counsels by providing leadership, management and coaching to enable them to be highly engaged and performing to their potential. Act as a point of escalation to resolve any legal issues and day to day queries from the team. 
•    Support the Head, Legal COE to implement the vision, strategy and direction of the Group Commercial Legal team and ensure effective management of legal matters handled.
•    Work with the Head, Legal COE to ensure that the team is adequately resourced and staffed by an appropriate number of competent staff sufficiently independent to perform duties objectively, support sustainable business growth and address legal and compliance risks.
•    Ensure the provision of ongoing training and development of people and ensure that the direct reports are suitably skilled and qualified for their roles and have effective supervision in place to mitigate any risks.
•    Develop and implement strategy in the areas of resourcing, talent development, performance management, learning and development, engagement and succession planning for key team members.
•    Work with HR and the Head, Legal COE to endeavour to ensure that individuals are objectively and fairly assessed and rewarded against their responsibilities and objectives. 
•    Set and monitor job descriptions and objectives for direct reports.
•    Engage relevant stakeholders (e.g. business functions, support functions and Legal colleagues) to obtain regular feedback on the team.
•    Promote a culture and practice of good conduct of business and adherence to legal standards within the Group

Key Responsibilities

Strategy
•    Support the Head, Legal COE in Bangalore in executing the team’s strategy and growth in respect of the team’s Centre of Excellence hubs and the Group Commercial Legal Team. 
•    Develop the legal service delivery model and a best in class legal operational approach to the team’s global legal activity. 
•    Promote a culture and practice of good conduct of business and adherence to legal standards within the Group

Business
•    To review, advise, draft and negotiate global procurement contracts (technology and non-technology) to ensure they meet the Group’s third-party contract standards and applicable law. This will include software, market data and subscription licences, escrow agreements, hardware, equipment/device purchases and support/maintenance services, business process outsourcing, professional services arrangements across the global functions and businesses, HR and other functional support services, general goods and services arrangements and intragroup servicing arrangements, including outsourcing.
•    Support the global and single country Businesses and Functions with commercial and technology procurement matters to ensure they meet the Group’s third-party risk management requirements and applicable law. This will include outsourcing and other major sourcing projects, professional and corporate services arrangements and technology arrangements for the procurement of services and deliverables. 
•    To analyse potential risks involved with specific contract teams and other risk owners.
•    To keep up to date with relevant policies and procedures and applicable law.
•    To provide stakeholders with accurate and timely information and advice regarding the status of contract matters. 

•    To support with continuous improvement initiatives in relation to contract processes, workflow, guidance, playbooks and templates and provide training on contract legal issues to legal teams and other stakeholders.
•    Support regulatory remediation and change initiatives impacting the Group’s global vendor and intragroup arrangements, and related change management in respect of operational processes, policies and standards and contract documentation. 
•    To collaborate and coordinate with other legal teams across the Bank to ensure appropriate overall matter management. Where external counsel is appointed, to manage the engagement, oversee the quality of work and effective delivery of legal support and manage external legal costs.
•    Support as escalation point within the centre of excellence hub for commercial legal requirements where required

Processes
•    Responsible for adhering to the Group Contracts Policy, the Group’s Third-Party Risk Management Framework and related policies and standards.
•    Maintain the team’s Department Operating Instructions for third party contracts and keep them under review.
•    To support with continuous improvement initiatives in relation to operational transformation and contract processes, workflow, guidance, playbooks and templates and provide training on contract legal issues to legal teams and other stakeholders.
•    Keep up to date with Group policies and standards and applicable law across the Group’s international jurisdictions.
•    Where external counsel is appointed, manage those appointments in accordance with the Group Engaging External Counsel Policy including ensuring the scope of work is defined and appropriate, overseeing the quality of work and managing external legal costs. 
•    Support the Head, Legal COE in Bangalore by providing supervision, guidance, advice and support to the wider global team where required. 
•    Promote good legal practice and standards across the Group. 
•    Provide training to colleagues at all levels to ensure legal and third party risk management principles and practices are adopted. 
•    Foster an environment that drives best practice and development across the wider team. 
•    To support on team management and administration tasks where required.

Risk Management

•    Providing guidance and support on legal and operational risk identification and management. 
•    Supporting advice to Risk Owners on legal issues arising in contracts, including in respect of data protection, outsourcing, information and cyber security, cloud and operational resilience.
•    Supporting early resolution of vendor and other third party contract management issues and pre-litigation disputes.

Governance 

•    Establish strong relationships with key stakeholders at all levels, while independently performing own duties.
•    Work with Businesses and Functions and colleagues in the Legal Function to identify and develop process enhancements and simplification opportunities and innovative solutions to improve and enhance efficiency of legal operations and service delivery.

Regulatory & Business Conduct

Qualifications

EDUCATION: Bachelor’s degree in Law 

Skills and Experience

•    Good knowledge and understanding of technology and commercial contract requirements including intellectual property and data protection. Experience of outsourcing is preferred but not essential
•    Strong People Management Skills
•    Good knowledge in current technology and innovation trends as well experience in traditional technology procurement topics such as IP, Cloud, e-commerce, data privacy, information security.
•    Experience in the banking industry (whether through in-house or private practice) is preferred but not mandatory.
•    Experience in leading, structuring, and executing a wide variety of technology and innovation transactions with a strong emphasis on internal and external stakeholder management.
•    Ability to negotiate contract terms with third parties
