Job Summary

We are seeking a highly skilled and experienced Senior Legal Counsel to join our dynamic legal team, supporting our Global Banking division across Asia, with a particular focus on Greater China and North Asia (GCNA). This role requires an individual with deep expertise in banking law and regulations to provide, and manage the provision of, advisory, structuring, and execution legal support for Global Banking Lending and M&A Advisory Transactions in GCNA.

Key Responsibilities

  • Provide legal advisory and transactional work for the Global Banking division, with a focus on:
      • Commercial Real Estate Finance
      • Financing Solutions (syndicated lending)
      • Funds Finance
      • Infrastructure and Development Finance
      • Leveraged and Acquisition Finance & Private Credit
      • Transportation Finance (aviation and shipping)
      • M&A Advisory
  • Manage and oversee the provision of legal services, ensuring compliance with banking laws and regulations.
  • Collaborate closely with internal stakeholders to structure and execute complex financial transactions.
  • Provide assistance to the Global Banking Legal team on the management of legal enforceability risk within the context of the relevant risk management system in place.
  • Stay updated with the latest legal developments and regulatory changes in the banking sector

 

Key Stakeholders:

•    Group General Counsel
•    Head of CIB Legal, Banking and other Legal Management Team members 
•    CIB Legal team members
•    Legal Documentation Unit
•    The Head of Global Banking and all other members of Global Banking businesses
•    Appropriate colleagues in other functions such as CFCC, Audit, Operational Risk, Credit and Tax
•    External law firms

Qualifications & Experience

  • University degree specialising in law such as Bachelor of Laws (LLB), Master of Laws (LLM) or Juris Doctor (JD)
  • Qualified to practice as a solicitor, attorney or equivalent in a common law jurisdiction.
  • 5+ years’ experience in private practice and / or in-house of managing complex legal issues in an international environment at first rate institutions.
  • Experience with LMA and APLMA style documentation in the context of cross-border financings.
  • Sharp business acumen (including ability to assess risk), strong leadership qualities, excellent interpersonal skills and multi-cultural awareness and sensitivity.
  • Sound judgment of business practices, regulatory relationship management and reputational risk.
  • Fluent written and spoken English and Chinese (Mandarin) are mandatory.
