Job Summary

37C is building an institutional digital-asset financing & treasury platform which will be operating globally, conducting regulated activities out of ADGM. We provide USD/stablecoin lending against digital-asset collateral with assets held at qualified custodians. Beyond lending, we aim to keep borrowers and investors on-platform with curated tokenized investment opportunities and light-touch prime services (via partners) such as collateral/treasury tools. We are building a tech-first company —API-driven, security-led, with AI embedded in underwriting, monitoring, and operations. 37C is backed by a tier-1 global bank and a leading hedge fund manager.

The Opportunity:

This is a front-door, operating role for our ADGM entity. As Senior Executive Officer (SEO), you will be the resident Approved Person responsible for running the ADGM business safely and compliantly, managing the relationship with FSRA, and overseeing day-to-day governance, risk, and control. The co-founders (especially the CEO) lead the overall strategy, commercial agenda, and hiring; you will partner closely with them while owning operations and regulatory affairs in ADGM. Note: The FSRA application is being led by the co-founders with a placeholder for the SEO; you will join to take the ADGM entity from approval to go-live and scale.

Key Responsibilities

What you’ll own:

Regulatory & Supervisory Interface

  • Primary liaison with FSRA: handle authorisation handover, notifications, inspections, periodic returns, incident management.
  • Ensure our permissions (Cat 4: Arranging Credit, Advising on Credit/Investments, and/or PFP) are operated within perimeter; maintain conduct and financial promotions controls.

Governance & Risk Oversight

  • Run the ADGM governance cadence: Board packs, Risk/Credit Committee, policy approvals, outsourcing oversight.
  • Approve and monitor risk guardrails (eligible collateral, LTV/margin/liquidation playbooks) and exceptions; ensure effective MI and KRIs.

Operating the ADGM Business

  • Ensure professional-only client classification, KYC/KYB standards, sanctions controls, and record-keeping are executed to policy.
  • Oversee outsourced functions (Compliance/MLRO, Finance Officer, Internal Audit) with clear SLAs, KPIs, testing, and exit plans.
  • Coordinate with CTO/CRO on control design (custody integrations, margin automation, incident response/BCP).

Stakeholders & Partnerships

  • Maintain senior relationships with FSRA, custodians, banks, OTC venues, administrators, and service providers.
  • Support founder-led commercial efforts within regulatory guardrails (no prop trading; no retail).

Skills and Experience

What great looks like 

  • FSRA licence conditions met; zero critical findings; clean external reviews.
  • Operating rhythm in place: Credit/Risk Committee, MI dashboards (LTV, margin events, SLAs), incident drills, outsourcing attestations.
  • First $50–100m deployed through the ADGM entity with tested liquidation pathways and documented post-mortems.
  • Outsourced CO/MLRO and FO running to KPIs; Internal Audit plan approved and underway.
  • Clear org lines: formal regulatory accountability with the SEO; smooth day-to-day with the CEO and founders

Nice to have

  • ADGM/FSRA experience and UAE ecosystem network.
  • Private credit or crypto-collateralised lending exposure; familiarity with custodians and OTC venues.
  • Experience taking a firm from authorisation to first deployment.

Qualifications

  • 10–15+ years in institutional lending/prime/markets or crypto-institutional platforms; prior Approved Person experience (SEO/SMF/Licensed Director) preferred.
  • Deep understanding of credit underwriting, collateral/margin, custody/escrow, and crypto-specific risks (MPC/HSM, oracles, L1/L2).
  • Proven record operating a regulated entity and engaging supervisors (FCA/DFSA/FSRA/MAS/HKMA).
  • Strong governance mindset: outsourcing, AML/CTF/sanctions oversight, complaints/financial promotions, conduct risk.
  • Clear, calm communicator with Board-level presence; comfortable in a hands-on, lean environment.
  • UAE residency (or immediate relocation) required.
