Title: Associate Director, Corporate Secretariat

Job Summary
We are looking for an Associate Director, Corporate Secretariat to join our team in Frankfurt.
In this role you will be working closely with the members of Standard Chartered Bank AG’s Management & Supervisory Board. You will support them in managing various processes (including preparation and coordination of the Management Board and Supervisory Board meetings incl. taking minutes). You will also assist with tasks and general queries in relation to corporate governance (e.g. delegated authorities and document execution).
Key Responsibilities
Board Governance
• Manage the end-to-end Supervisory Board and Management Board processes, including drafting, reviewing and circulating agendas, papers, resolutions and minutes to the Supervisory and Management Board members (“Directors”) on a timely basis, arranging meetings and following up on actions.
• Coordinate, schedule and communicate Supervisory Board and Management Board meetings, including co-ordination of presenters for meetings.
• Provide advice to paper authors to ensure compliance with the guidelines in terms of paper format (including reviewing and amending draft papers where appropriate) and acting as the primary contact for all general enquiries relating to the organisation of Board Committee meetings or information requests.
Company Secretariat
• In respect of new Director appointments or resignations, support with all approvals and legal and regulatory formalities and filings in connection with director changes within the responsibility of Standard Chartered Bank AG Corporate Secretariat
• Help develop, maintain and execute robust Supervisory and Management Board succession plans and ongoing training, as well as the preparation and maintenance of the Directors Handbook and other Directors’ training and reference material.
• Assist with tasks and general queries from within the Group’s network, including the provision of information and documents for the Company, delegated authorities and document execution.
• Help ensure that the Company complies with all relevant policy, statutory, legal and regulatory requirements in the jurisdiction, including filings and regulatory disclosures.
• Prepare of all documentation and communications required for shareholder meetings and arrange the meetings.
• Act as the Blueprint Responsible Person (“RP”) for the company, completing changes to mandatory fields and compliance reviews in Blueprint within the prescribed timelines and in accordance with the minimum standards.
Corporate Authorities & Approvals
• Provide advice to all stakeholders on corporate authorities and work closely with the senior management to ensure relevant board and committee approvals are obtained on a timely basis.
Skills and Experience
• Experience of undertaking company secretarial responsibilities for a Stock Corporation (“Aktiengesellschaft” preferred).
• Solid understanding of German company law (German Stock Corporation Act) and banking law regulations.
• Educational background in Law is not required but beneficial.
• Attention to detail and high level of accuracy.
• Proven excellent organisational and planning skills.
• Ability to identify and drive opportunities for continuous improvement.
• Good interpersonal and written and verbal communication skills with the ability to communicate and influence senior management and stakeholders across different cultures.
• Ability to prioritise workload, work under pressure and manage tight deadlines.
• Reliable, self-motivated and proactive.
• Good problem-solving skills combined with a commercial mindset.
• Fluency in English is mandatory, fluency in German is a nice-to-have but not required
