Job Summary
Uphold exemplary standards of corporate governance while delivering key priorities and initiatives in line with the Group Corporate Secretariat’s performance scorecard. Ensure high-quality, efficient, effective, and sustainable company secretarial practices in Pakistan through proactive management, maintaining strict compliance with relevant Group Policies, and adhering to local legal and regulatory requirements.
Key Responsibilities
- Manage the entire board process, ensuring timely distribution of high-quality papers, accurate minute drafting, and proactive follow-up on actions.
- Advise the Chairman and CEO on board/audit committee agendas to ensure directors have the necessary information for decisions and approvals.
- Collaborate with the Regional Head of Corporate Governance and the CEO to develop and execute a robust board succession plan, maintaining an up-to-date capability matrix and independent director watch list.
- Deliver a tailored induction program for new directors within three months of appointment.
- Advise directors on ongoing training related to fiduciary duties, responsibilities, governance issues, strategic priorities, and risk management, maintaining a log of completed trainings.
- Act as a trusted advisor to directors, serving as their primary contact for corporate governance and board matters.
- Implement a robust process to manage conflicts of interest, outside business interests, and associated disclosure obligations.
- Advise and collaborate with the Chairman to conduct annual board evaluations and implement follow-up actions.
- Advise on corporate actions, including Changes to Group Corporate Structure, and act as a trusted advisor to stakeholders, providing guidance and support for related transactions.
- Advise stakeholders on corporate authorities and work with senior management to ensure timely board and committee approvals.
- Ensure senior managers understand the sources of authority framework and the process for obtaining and demonstrating approval authority, including guidance on the Group Authorised Signatory Book, Group Delegated Authorities Manual, and the Guidance Note on Powers of Attorney.
Provide timely guidance to the Board and senior management on legislation, banking codes, and corporate governance policies. - Lead the Company’s engagement in corporate governance consultations, maximizing the Group’s value to regulators and policy makers.
- Lead corporate governance projects and initiatives, fostering an environment of forward planning, prioritization, and efficient work practices.
Ensure compliance with the Group Subsidiary Governance Policy and Standards in Pakistan, including all statutory, legal, and regulatory requirements, filings, and disclosures. - Monitor and ensure adherence to Corporate Governance Regulations and Guidelines, including board composition and director independence.
- Oversee all entities in Blueprint as the Responsible Person (RP), ensuring RPs understand their responsibilities and complete mandatory field changes and compliance reviews on time.
- Guide Accountable Executives in Pakistan to understand their responsibilities and complete six-monthly reports to the CEO.
- Keep records of all constitutional documents and ensure timely filing with relevant authorities.
- Manage corporate governance aspects of audits, inspections, and reviews.
- Efficiently manage shareholder meetings, ensuring approval of management proposals.
- Coordinate with the Share Registrar to handle shareholder matters/complaints promptly.
- Collaborate with the Finance team and stakeholders to ensure timely publication and dispatch of annual reports.
Skills and Experience
• Experience of working within Financial Services specifically Banking Listed company is preferrable due to regulatory knowledge.
