Job Responsibilities
- Review, negotiate, and finalise deal and loan structure documentation including lending agreements and security documents in accordance with the bank’s policies, Asia Pacific Loan Market Association standards, and Loans Agency requirements.
- Deliver expert documentation support and advice related to legal appointments and agency agreements across a broad range of financing products such as stressed assets, commodities, structured trade finance, project and export finance, structured finance, syndications, and transportation finance.
- Engage proactively with origination teams, both internal and external legal counsel, and clients to align on documentation requirements, ensuring clarity from both a commercial and legal perspective.
- Drive adherence to documentation drafting standards while addressing regulatory requirements, mitigating performance risk, and fostering opportunities for documentation process enhancements that are both cost-effective and operationally sound.
- Ensure comprehensive understanding and operational management of documentation processes resulting in a robust end-to-end approach in line with Loans Agency market standards.
- Maintain full compliance by ensuring draft documents include all necessary drafting riders and agent protection provisions, escalating any deviations promptly to senior management.
- Oversee security trustee functions, including reviewing security documents, managing security releases, intercreditor arrangements, and coordinating enforcement actions when required.
- Maintain independent oversight of all documentation to safeguard the position of the agent bank and external risk takers, balancing client relationship considerations with rigorous risk management.
- Manage sensitive information and systems in compliance with privacy and confidentiality standards, supporting the bank’s role as trustee and intermediary between clients and risk takers.
Job Requirements
Minimum Qualifications and Experience:
- Bachelor's degree or higher in Finance, Economics, Law, or a related discipline.
- At least 5 years of professional experience within the banking sector, with a strong preference for candidates experienced in loan documentation and transaction management.
- Fluency in English, with excellent written and spoken communication skills.
Technical and Role-Specific Competencies:
- In-depth knowledge of banking products, loan market standards, and regulatory frameworks relevant to lending and transaction documentation.
- Proven negotiation skills, capable of handling complex and challenging documentation discussions with clients and counterparties.
- Strong communication skills with diverse transaction stakeholders, capable of conveying complex legal and technical information clearly and diplomatically.
- High alertness to risk identification and mitigation related to documentation and transaction processing.
