Job Summary

Join the Transaction Management team to work on waivers and amendment documentation with institutional investors, banks, insurance companies, governments, and multinational corporations. This role offers a wide range of documentation experience and management skills for Lending and Agency services. The candidate will collaborate with various internal stakeholders and external vendors to develop and maintain documentation standards throughout the Bank. The role involves providing documentation support for various emerging market regions and managing the development of Agency lending products.

Key Responsibilities

 

  • Review and communicate waiver and amendment requests according to documentation requirements.
  • Manage waivers and amendments on our existing portfolio, negotiating with clients and other parties on draft documentation such as lending agreements and security documents.
  • Provide quality documentation support and advice for relationship managers and various business teams, thus resolving any documentation challenges with clients by offering suitable documentational solutions.
  • Liaise with origination teams, legal counsel, and clients to discuss documentation requirements and advise on drafting standards.
  • Ensure all documentation actions are effectively understood and operationally managed, creating a robust end-to-end process.
  • Arrange and host client or lender meetings regarding documentation breaches, defaults, or waivers/amendments.
  • Proactively manage day-to-day transaction issues and offer operations support during the life of transactions.
  • Assist with the management and safekeeping of original documentation.

Skills & Experience

  • Strong ability to manage and influence internal stakeholders across multiple business lines.
  • Experience working with external legal counsel and professional advisors.
  • Ability to engage effectively with syndicates of lenders, ECAs, and other secured creditors.
  • Solid understanding of syndicated lending documentation, particularly from an agency perspective.
  • Strong negotiation, communication, and stakeholder management skills.
  • High attention to detail with the ability to manage multiple transactions concurrently.
  • Experience supporting complex, cross-border or emerging market transactions is an advantage.

Qualifications

 

  • Prior experience in transaction management, loan documentation, agency services, or a related banking or legal role preferred.
  • Knowledge of syndicated lending, security documentation, and waiver/amendment processes is highly desirable.
  • Legal background or being in a similar environment would be ideal but is not essential.
