Job Description: 

Job Summary

To  provide subject matter legal expertise to support Global Markets (GM) globally, focussed on the Group’s strategic objectives for Commodities, including:

•    Lead and provide legal support to the GM Commodities derivatives, trading, physicals and financing business, including Physical Commodity Solutions, Energy transition trading, Precious Metals lending, banking and trading and commodities trading;
•    Support the development of the Carbon/emissions markets, Environmental, Social & Governance (ESG) GM products and related regulatory change, and innovative special projects in GM, with a focus on Commodities, as the need arises; and Support new initiatives, infrastructure and policy issues relating to GM, with a focus on Commodities.

Strategy
•    Provide general structuring, product, regulatory and transactional legal advice and support.
•    Provide training on legal/documentation product and regulatory matters and legal policies and procedures.

Business
•    Assist in the identification of material legal risks and opportunities for the relevant businesses.
•    Anticipate and assess key legal developments in the business for management consideration and help drive the development and implementation of appropriate legal and decision-making frameworks.
•    Help country legal teams globally with subject matter expertise as required, particularly regarding legal documentation and product approvals.
•    Review and provide legal signoffs for product governance documents.
•    Design, develop and as relevant approve new product documentation and country specific documentation.
•    Build strong relationships with relevant business stakeholders and functions.

Key Responsibilities

•    Determine the adequacy, validity, and enforceability of contractual documentation.
•    Manage documentation templates and automation.

Governance
•    Monitor and advise on regulatory reform developments globally
•    Control, monitor and report external legal spending.

Qualifications

Technical Knowledge
•    Core technical knowledge of laws and regulations applicable to the relevant businesses for which he / she is responsible, along with a general understanding of variations in such laws and regulations across relevant jurisdictions.
•    Has a strong grasp of the sales and transactional activities of the business, its operating model, and its key risks.

Experience and knowledge
•    Professional qualification as a lawyer.
•    Substantial experience of the relevant financial markets and products, documentation, and the relevant developing regulatory environment relevant to Commodities and ESG.
•    Deep knowledge and experience in GM’s products particularly for Commodities, physical, futures and OTC markets for derivatives and financing. Experience in structured commodity financing and energy trading is particularly relevant
•    Familiarity with, and have experience working on, ISDA/ EFET documentation, credit support documentation, repo, clearing house documentation, and physical commodity trading & financing documentation, confirmations and termsheets in relation to GM transactions.

Judgment
•    Many issues which arise in the course of drafting or negotiating documentation are not legal issues but involve aspects of credit, market, event or operational risk.  Must be able to understand the nature of these risks and meaningfully contribute from a legal perspective to developing and implementing the processes that mitigate these risks.
•    Ability to adapt approach to a range of legal systems and risk environments.

Certifications     Professional qualification as a lawyer.
