Title: Senior Manager - Transfer, Capital and Funding

Job Summary
- The Project’s objective is to simplify technology service provision by centralising Group software services activities and intangible software assets into a segregated tech service hub managed outside of the regulated banking entities. This will enhance our operational resilience, improve double leverage (DL) capacity, and support strategic optionality for the Group.
- One of the workstreams, led by Group Treasury, relates to the Transfer, Capital and Funding arrangements for the new service company (“ServCo”).
- The Project is a strategically important programme with exposure to senior stakeholders across the bank. This role is ideal for a person who can conceptualise, problem solve, and think laterally to navigate dynamic and unique issues. A strong understanding of financial accounting and treasury principles is essential, and experience with legal entity restructurings is desirable.
- The candidate will support delivery of Finance and Treasury related deliverables in respect of the Project over the next 12 months ahead of planned go-live in late 2026.
RESPONSIBILITIES
Key responsibilities include:
• Produce forecast financials for the new ServCo, together with adjusted financials (P&L, Balance Sheet and Cash Flow Statement) for existing operating entities (OpCos) in the Group. This will include detailed modelling of Group software intangibles, capital expenditure and amortization recharges.
• Financial modelling will run in conjunction with the Group’s Corporate Plan (CP) process, working closely with the Group Financial Planning team, and require coordination of numerous financial data owners, e.g. from Technology & Operations Finance and Group Financial Investments.
• Working closely with the Tax and Transfer Pricing team, assess the financial impact of the proposed transfer pricing arrangements whereby OpCos will be charged for software based on their usage of the software intangibles, and contribute to the design of intragroup recharge arrangements.
• Assess the appropriate level of debt and equity to be held by the ServCo, and model the capital and double leverage impact of the transaction, including assessment the of country capital impact of the new software intangibles booking model and recharge methodology.
• Produce a funds flow analysis in accordance with the legal steps of the transaction
• Work collaboratively with diverse teams across functions, businesses and geographies, to ensure key milestones are delivered in adherence to the overall programme schedule.
• Provide updates as required to internal and external stakeholders, and ensure escalation in a timely manner of any risks and issues.
• Ensure implications of the proposed restructuring are well understood at the country level to ensure a consistent message and understanding is given to the impacted country regulators.
Candidate should be able to demonstrate:
• Applicants should be highly numerate, with advanced skills in financial modelling and data manipulation
• Strong knowledge of financial accounting and treasury principles
• Ability to work in a dynamic environment and in fluid situations with tight deadlines.
• Proven ability to lead and manage large-scale financial projects, demonstrating strong organisational and coordination skills
• Ability to work collaboratively with diverse teams across functions and the business, as well as senior management, and in an environment where priorities are subject to change.
• A good understanding of Risk Management and governance processes
• Experience with corporate M&A and/or corporate restructuring would be desirable.

• Relevant qualification in Accounting and/or Treasury.
