Job Description: 

Key Responsibilities

•    Member of a team providing Capital Markets (“CM”) related legal advice with respect to new products and CM initiatives.
•    Provide transactional support to CM business having regard to Product Programme Authorisation (PPG)/Country Addenda (CA) parameters and, if applicable, the Group’s minimum standards and guidance for the relevant product(s) or service(s).
•     Manage (in consultation with others) strategy in relation to legal matters relating to CM. 
•    Drafting and negotiating legal documents for CM transactions including engaging with relevant internal stakeholders.
•    Managing external counsel on ad hoc transactions include as to costs, quality and responsiveness of advice.
•    Keep up to date with relevant changes in law and regulatory reforms.
•    Identify, assess, manage, monitor, mitigate and report legal risks across CM.
•    Support and implement the vision, strategy and direction for the wider SCB Legal team.
•    Support the priorities and agenda of CM as well as their wider Group priorities and agenda.

Strategy
•    Possesses technical knowledge of the legal landscape for CM.
•    Lead and take responsibility for providing legal advice, guidance and support to business units and stakeholders on all legal matters relating to CM.
•    Maintain close relationships with stakeholders including the Coverage Legal Head, Global Head Capital Markets Legal, Head Capital Markets Legal Asia and CM Business Heads to provide them with relevant legal advice, guidance and support. 
•    Promote a culture and practice of compliance with legal standards (including conducting business within legal and regulatory requirements, with high ethical standards). 
•    Lead through example and build an appropriate culture and values.  
•    Help to embed and implement global legal standards for CM taking into account regional/country issues.
•    Help to ensure that regulatory reform/changes are appropriately assessed within Legal from a CM impact perspective and that any regulatory reform is appropriately escalated and managed. 
•    Develop thought leadership capability as a member of the Global Banking Legal team.
•    Awareness and understanding of the Group’s business strategy and model appropriate to the role.

Business
•    Act as lead lawyer for complex multi-jurisdictional CM transactions, collaborating with the relevant regional and/or country Head of Legal to provide seamless support to the business.
•    Work with Product and other stakeholders to structure and define parameters for new products and initiatives and develop template legal documentation.
•    Awareness and understanding of the wider business, economic and market environment in which the Group operates.
•    Drive improvements to documentation processes and develop template legal documentation for CM and CSDG businesses that are fit for purpose and promote standardisation across the Group.
•    Implement global standards and initiatives for legal matters in relation to all CM businesses, including the Bank’s position on departures from standard clauses, and applying a consistent approach to management of issues, in particular, to matters relating to regulatory reform.
•    Support and oversee internal legal, external legal counsels and business teams supporting/working within CM and drive operational efficiencies/improvements.
•    Promote clarity and understanding of CM documentation within the CM teams and if required, to conduct relevant training to CM and CSDG teams around documentation.
•    Identify and find ways to reduce legal and reputational risk.
•    Ensure that regulatory reform/changes are appropriately assessed and managed from a CM Legal perspective.
•    Manage the quality and cost of legal services provided by external law firms and to approve the selection of external law firms.
•    Interface with country legal and compliance on local regulatory issues.

Processes
•    Assist in procuring those appropriate forms of legal documents are used for transactions with adequate protections and remedies for the Bank and help management determine that transactions are valid and enforceable under the laws of all relevant jurisdictions. 
•    Be aware of and have an understanding of relevant CM and Legal policies, product programmes and processes.

People & Talent

•    Build strong and collaborative relationships with legal colleagues, the business and other stakeholders within the wider SCB network.

•    Promote best practice and lessons learned across CM Legal team, especially in relation to legal risks and compliance with relevant regulations and internal policies/procedures in respect of CM.

Risk Management
•    Have an appreciation for where the management of legal enforceability risk fits within the overall risk appetite of the Bank (including the ability to interpret legal documentation, statutes, regulation and advice and identify key issues based on this information).
•    Establish, maintain and manage effective global processes (including training, advice and support) to ensure that policies, procedures and standards addressing legal risk are effectively implemented in respect of CM in a context appropriate to the relevant risk management system in place at the time.

Governance
•    Awareness and understanding of the regulatory framework in which the Bank operates and the regulatory requirements and expectations relevant to role.
•    Ensure that any papers being tabled by Legal at any relevant governance committees have been reviewed from a CM Legal perspective.
•    Ensuring compliance with the Group's overall Risk Management Framework including identifying, assessing, managing, monitoring, mitigating and reporting legal risks across CM in India.
•    Ensure that policies, procedures and standards to address legal risks are effectively complied with on transactions that is worked on.

Regulatory & Business Conduct
•    Display exemplary conduct and live by the Group’s Values and Code of Conduct. 
•    Take personal responsibility for embedding the highest standards of ethics, including regulatory and business conduct, across Standard Chartered Bank. This includes understanding and ensuring compliance with, in letter and spirit, all applicable laws, regulations, guidelines and the Group Code of Conduct.
•    Lead the CM team to achieve the outcomes set out in the Bank’s Conduct Principles.
•    Effectively and collaboratively identify, escalate, mitigate and resolve risk, conduct and compliance matters.

•    Support the embedding of Here for Good and Group’s brand and values.
•    Lead from a CM Legal perspective on any bank-wide projects requiring input.
•    Anticipate and escalate impact of regulatory reform, horizon legal risks that may have a significant impact on the CM businesses.

Qualifications

•    Qualified to practice as an advocate in India with minimum of 5 years, post qualification experience in financial products or banking industry.
•    Technical focus in debt capital markets.
•    Experience in private practice as part of the banking/capital markets team or in-house in the financial services sector
•    Proven familiarity ideally with ICMA and other industry documentation
•    Ability to identify and handle complex legal issues efficiently and within stated timelines.
•    Sharp business acumen (including ability to assess risk and appropriate levels of return), strong leadership qualities, excellent interpersonal and communication skills and multi- cultural awareness and sensitivity.
•    Understanding of risk management techniques.
•    Ability to collaborate and work dynamically across country, region, business and group stakeholders.
•    Sound judgment of business practices, regulatory relationship management and reputational risk.
•    Exemplary integrity, ethics, independence and resilience.
