Job Summary
To join the Transaction Management team working on documentation with institutional investors, banks, insurance companies, governments, and multinational corporations. As a Transaction Manager, the candidate will have to demonstrate a mix of documentation review skills and deal management skills. Transaction Management offers a wide range of documentation experience and management skills for Syndicated Lending and Agency services. The role will require the candidate to work with various internal stakeholders and external vendors in developing documentation standards throughout Syndicated and Corporate Finance. The role will require documentation support mainly for the United States but may also include stakeholders in various regions from Latin America to Asia for the management and development of Transaction Banking, PEF and Agency lending products.
Role Purpose
• Provide transaction management and documentation expertise across syndicated lending, agency services, transaction banking and corporate finance transactions.
• Protect the Bank through review, negotiation and management of loan, security, agency and related legal documentation.
• Support clients and stakeholders through documentation solutions, risk mitigation and transaction execution.
• Manage all transaction closings by ensuring that all conditions precedent and conditions subsequent have been satisfied within the documentation by arranging closing calls and communications towards all parties.
Key Responsibilities
• Review deal structures and negotiate documentation, including loan agreements, account bank and escrow agreements, security documents, and related transaction documents, ensuring compliance with bank policies, TMG operational risk standards, and market practices.
• Provide documentation support and advisory services across Transaction Banking(Escrow accounts, deposit accounts, collateral accounts etc), Agency, Security Trustee, Syndications, Structured Finance, Project & Export Finance, Trade Finance, Shipping, Aircraft, Islamic Finance, Commodities, GSAM, and other business areas.
• Work closely with origination teams, clients, and internal/external legal counsel to define documentation requirements and ensure alignment with business objectives and risk standards.
• Support documentation standards, regulatory compliance, risk mitigation, process improvements, and root-cause analysis to enhance efficiency and documentation quality.
• Ensure documentation is operationally effective and managed within the TMG Operational Risk Framework, maintaining robust end-to-end processes.
• Review all documentation to ensure inclusion of required drafting standards and agency protection provisions, escalating material exceptions when necessary.
• Manage Transaction Banking products as the primary focus, while supporting additional product lines as required.
• Oversee Security Trustee responsibilities, including review of security documents, releases, intercreditor agreements, and enforcement actions.
• Maintain independent oversight of transaction documentation to protect the interests of the agent bank and lenders while balancing client relationship considerations.
• Ensure compliance with confidentiality, information barrier, and regulatory requirements by managing communications and records within approved controls.
• Support the safekeeping and management of original legal documentation.
• Proactively resolve documentation issues and provide operational support throughout the life cycle of transactions.
• Manage amendments, waivers, and consent requests by coordinating with borrowers, lenders, and internal stakeholders and ensuring appropriate approvals are obtained.
• Organize and lead client and lender meetings related to amendments, defaults, restructurings, and other transaction matters.
• Support distressed situations by coordinating restructuring activities, security management, reservation of rights, enforcement actions, and stakeholder communications.
• Prepare transaction summaries, workflow documentation, and handover materials for administration teams, highlighting key risks, milestones, monitoring requirements, and operational considerations.
• Develop and enhance administrative and operational procedures to ensure compliance with bank policies and product requirements.
• Manage transaction closings by confirming all conditions precedent and subsequent are satisfied and ensuring smooth coordination among all parties.
• Coach and support administration teams by sharing documentation expertise and strengthening product knowledge across the organization.
• Contribute to product development initiatives, new product launches, and delivery of client solutions.
• Participate in client events, training sessions, and industry reviews to identify market trends, share knowledge, and support continuous improvement within the Transaction Management team.

Recruitment Assessments
Expected annual base pay range for the role is 94,600 USD to 141,900 USD. The final offer will be determined on an individualised basis using a number of variables, including but not limited to skill set, depth of experience and education, internal relativity, and specific work location. At Standard Chartered Bank, Base pay is only part of the total compensation package.
