Job Description: 

RESPONSIBILITIES

Strategy
•    building ventures in the SG
•    execution of minority investments in Fintech companies (and divestments)
•    operation and governance of ventures and SCV’s investment funds
•    M&A and fundraising (collaborating with the Group’s M&A Legal team).
 
•    Provide strategic and transactional legal support and advice to the SCV team and other business stakeholders on creating disruptive ventures and other digital transformation initiatives (including co-creation agreements with Fintechs, partnership and cooperation agreements, joint ventures and consortia membership agreements).

•    Acting as the legal point of contact for specific ventures across their journey from ideation to go-live.

Business
Provide legal advice and transactional legal support on new business ventures and other digital transformation initiatives:
•    Act as central legal contact point as ventures are created and progress to target countries; Provide legal support on contract documentation with partners and vendors, e.g. NDAs, LOIs, JV's, collaboration agreements, data transfer agreements, POC’s and outsourcing agreements;
•    Provide legal advisory support on ventures including outsourcing matters, data protection, intra group arrangements, cybersecurity, intellectual property and regulatory engagements;
•    Drafting and negotiating a range of agreements including software development, SaaS, software maintenance, proof of concept, sales / distribution, strategic partnerships, hosting, data transfer, professional services, consultancy, platform terms of use and privacy policies;
•    Effectively manage external counsel.

Processes
Participate in all aspects of Fintech investment and fundraising activities including due diligence, structuring, negotiating, completing the transaction and subsequent investment portfolio management:
 
•    Negotiate NDAs, and transactional documents such as term sheets, subscription agreements, shareholders’ agreements, side letters, etc
•    Instruct & manage external counsel on Fintech investment and fundraising transactions; Manage legal due diligence;
•    Manage the entire legal process to completion;
•    Participate in portfolio management and exit activity; and
•    Provide legal input to the ongoing governance and management of all SCV investment activities

Regulatory & Business Conduct

•    Display exemplary conduct and live by the Group’s Values and Code of Conduct. 
•    Take personal responsibility for embedding the highest standards of ethics, including regulatory and business conduct, across Standard Chartered Bank. This includes understanding and ensuring compliance with, in letter and spirit, all applicable laws, regulations, guidelines and the Group Code of Conduct.
•    Effectively and collaboratively identify, escalate, mitigate and resolve risk, conduct and compliance matters.

•    Embed Here for good and Group’s brand and values in the business and SC Ventures; 
•    Perform other responsibilities assigned under Group, Country, Business or Functional policies and procedures.

Qualifications

•    Law degree from a reputable institution in one of the common law jurisdictions    
•    Solicitor or equivalent (minimum of 6 years page)
