Job Summary
Transaction Execution
• Conduct and manage due diligence inquiries of target company using due diligence checklists to understand their business, assets, capabilities, ESG and financial performance, as well as strategic fit
• Provide overall project management of the assigned M&A transactions, including coordination with clients, counterparty and external advisors such as Legal, Accounting, Tax to enable diverse capabilities
• Review public filings, research reports, business plans and financial information to produce operating and financial models
• Develop financial / valuation models to evaluate investments, reorganisations, disposals, acquisitions and other corporate finance transactions
• Conduct valuation assessment and provide valuation advice
• Conduct comprehensive research into company/industry/geographic market for a M&A transaction and prepare materials such as teasers, information memorandums, and other marketing materials.
• Manage and develop administration and documentation for assigned M&A transactions
• Assist on transaction structuring
• Assist in negotiating commercial points on behalf of the client
• Assist in preparation of board materials and other approvals required by the client
Sector Knowledge/ Origination
• Contribute to the Cleantech & Environment sector M&A team which include (Renewable Energy, Conventional Power, Utilities, Environmental Services, Water, Waste, Electric Mobility Value Chain, Battery Storage, Geothermal, etc)
• Originate new business and opportunities by leveraging strong understanding of clients’ business and a consultative approach to provide tailored, structured solutions that meet their needs
• Participate in origination and execution of transactions, primarily leading the origination / pitch phase and support through to closing
Key Responsibilities
• Maintain up to date knowledge on clients and targets, including preparing sector/ country landscape updates, maintaining trading/ transaction comparables
• Research and analysis of markets and industries
• Research and financial analysis of companies based on company information, research reports, and other information sources
• Participate in sector forums and conferences

• Coordinate efforts with deal team members across the Bank
• Involved in day to day project management and execution support
• Complete all required credit and regulatory examinations

Education
• At least Bachelor’s degree
Certifications
• CFA is a plus
• CMFAS certified
Languages

• Written and Spoken Mandarin
• Additional South East Asian Language a plus
Our Ideal Candidate
• 4+ years of investment banking sector experience in either M&A or Project Finance teams
• Has worked on multiple M&A deals in renewable energy/ power and utilities sector in South-East Asia and North Asia
• Has led financial modelling workstreams independently on M&A transactions in the renewable energy/ power, utilities sector
