Title: Associate Director, Metals & Mining M&A

Key Responsibilities
Business
• Participates in origination and execution of high-quality M&A and M&A-linked financing mandates in the Metals & Mining sector in the APAC region
• Builds client rapport and relationships at appropriate levels
• Demonstrates solid understanding of the M&A and M&A linked financing processes and associated legal and regulatory framework
• Demonstrates keen interest in and increasing understanding of the mining and metals industry
• Participations in client discussions
Processes
• Prepares presentation materials for use in client meetings, both origination and execution
• Performs financial and valuation analyses using various methodologies
• Builds detailed financial models
• Undertakes research and financial analysis of companies, markets and industries based on public filings, research reports and other sources
• Supports due diligence and negotiations during transactions
• Participates in all stages of transaction execution, from the pitch phase through to execution phase and closing
• Capable of project managing a deal for a client
• Demonstrates understanding reasons for negotiation/stance taken in transaction
• Assists day-to-day project management and execution support
People & Talent
• Leads through example and build the appropriate culture and values
• Collaborates with other SCB product groups, teams and offices
• Assists with day-to-day management of junior team members
• Mentors and assists the development of junior team members
Risk Management
• Assists the team in adhering to all internal compliance requirements
• Complies with the highest standards of regulatory conduct and compliance standards and practices as defined by internal and external requirements. This includes compliance with anti-money laundering regulations and guidelines
• Ensures any audit and compliance issues relating to the M&A business are resolved in a timely manner
• Ensures that Risk Management matters that are brought to the job-holder’s attention are subject to direct remedial action and/or escalated, where appropriate to relevant risk committees

• Is aware and understands the regulatory framework, in which the Group operates, and the regulatory requirements and expectations relevant to the role

Our Ideal Candidate
• 4+ years of experience in M&A and M&A linked financing, ideally with previous exposure to the mining and metals industry
• Exemplary understanding of valuation methods and technics, including DCF, multiples, cost based analysis and other
• Highly proficiency in financial modelling in excel and financial analysis
• Solid understanding of the M&A and leverage acquisition finance processes
Role Specific Technical Competencies
• Proficient with MS Office Suite, particularly Excel, PowerPoint and Word
• Generates pitch books, information memoranda, investment teasers, other documents under guidance
• Conducts general industry, country and company research
• Demonstrates strong attention to details ensuring error free work output
• Capable of multi-tasking and working under tight deadlines to produced timely and quality work
• Excellent teamwork, inter-personal and written and verbal communication skills
• Effectively and collaboratively identifies, escalates, mitigates and resolves risk, conduct and compliance matters
• Completes all required regulatory examinations
