Job Summary
• Provide legal advice to the Global Banking businesses in Asia (including but not limited to Capital Markets, Commercial Real Estate Finance, Funds Finance, Leveraged and Acquisition Finance & Private Credit, Financing Solutions i.e. syndicated lending, and M&A Advisory) and securitisation products and related functions (together, “Global Banking”).
• Manage (in consultation with others) strategy in relation to legal matters relating to Global Banking.
• Drafting and negotiating legal documents for Global Banking transactions including engaging with relevant internal stakeholders.
• Managing external counsel on ad hoc transactions include as to costs, quality and responsiveness of advice.
• Provide legal advice and training with respect to new products and initiatives for Global Banking in Asia.
• Keep up to date with relevant changes in law and regulatory reforms.
• Identify, assess, manage, monitor, mitigate and report legal risks across Global Banking in Asia.
• Support the Global Banking business teams with immaterial disputes that may arise from time to time.
• Support the Legal teams in other regions of the SCB network where needed.
• Support and implement the vision, strategy and direction for the wider SCB Legal team.
• Support the priorities and agenda of Global Banking in Asia as well as their wider Group priorities and agenda.
Key Responsibilities
Strategy
• Lead and take responsibility for providing legal advice, guidance and support to the Global Banking business and associated stakeholders on all legal matters.
• Develop thought leadership capability as a member of the Global Banking Legal team.
• Awareness and understanding of the Group’s business strategy and model appropriate to the role.
Business
• Have and maintain an awareness and understanding of the wider business, economic and market environment in which the Group operates.
• Ensure that regulatory reform/changes are appropriately assessed and managed from a Global Banking Legal perspective.
• Maintain close relationships with appropriate stakeholders (including relevant individuals in the Global Banking product business team, relevant individuals within the COO function and other relevant Global Banking representatives) and provide them with legal advice, guidance and support.
• Providing Global Banking related legal advice with respect to Global Banking products.
• Provide transactional and documentation support to Global Banking business in Asia having regard to Product Programme Authorisation (PPG)/Country Addenda (CA) parameters and, if applicable, the Group’s minimum standards and guidance for the relevant product(s) or service(s).
• Act as lead lawyer for complex multi-jurisdictional Global Banking transactions in Asia, collaborating with the relevant regional and/or country Head of Legal to provide seamless support to the business.
• Work with product and other stakeholders to structure and define parameters for new products and initiatives and develop template legal documentation.
• Manage the quality and cost of legal services provided by external law firms and to approve the selection of external law firms

• Provide assurance to the Global Banking legal team on the management of legal enforceability risk within the context of the relevant risk management system in place at the time.

• Have an appreciation for where the management of legal enforceability risk fits within the overall risk appetite of the Bank (including the ability to interpret legal documentation, statutes, regulation and advice and identify key issues based on this information).
• Establish, maintain and manage effective global processes (including training, advice and support) to ensure that policies, procedures and standards addressing legal risk are effectively implemented in respect of Global Banking in a context appropriate to the relevant risk management system in place at the time.
Governance
• Ensure that any papers being tabled by Legal at any relevant governance committees have been reviewed from a Global Banking Legal perspective.
• Ensuring compliance with the Group's overall Risk Management Framework including identifying, assessing, managing, monitoring, mitigating and reporting legal risks across Global Banking in Asia.
• Ensure that policies, procedures and standards to address legal risks are effectively complied with on transactions that is worked on.
Regulatory and Business Conduct

• Take personal responsibility for embedding the highest standards of ethics, including regulatory and business conduct, across Standard Chartered Bank. Other Responsibilities
• Support the embedding of Here for Good and Group’s brand and values;
• Lead from a Global Banking Legal perspective on any bank-wide projects requiring input.
• Where external counsel is appointed, liaise with external counsel and ensure the scope of work is defined and appropriate, oversee the quality of work and manage external legal costs, and ensure appropriate overall matter management.
• Anticipate and escalate impact of regulatory reform, horizon legal risks that may have a significant impact on Global Banking businesses
Our Ideal Candidate
Qualifications, skills and experience
• Qualified to practice as a solicitor/attorney in Singapore or England & Wales or similar Commonwealth Jurisdictions based on English law.
• 4+ years’ experience in private practice or in-house of managing complex legal issues.
• Proven experience of bilateral and syndicated cross border lending.
• Proven familiarity with ICMA, APLMA, LMA and ideally other industry documentation.
• Proven experience working on securitisation and knowledge of securitisation regulations
• Proven experience working on capital markets transactions.
• Understanding of risk management techniques.
• Exemplary integrity, ethics, independence and resilience.
