JOB SUMMARY

As part of the CIB Transaction Banking Legal Team, to provide legal support to the Key Business Stakeholders (see Job Responsibilities) with a particular focus on digital channels and digital platforms.

 

JOB RESPONSIBILITIES

•    Provide legal support for key stakeholders within or supporting Transaction Banking including Cash Product, Trade Product, Digital Channels Solutions (“DCS”), Digital Channels, Data and Client Coverage Platforms (“DDCP”), and Strategic Partnerships (“Key Business Stakeholders”) globally. 

•    Develop and/or update global template agreements, ensuring they are fit for purpose, balanced, promote standardisation, simplification and meet minimum bank standards including relevant policies. Drive projects and global initiatives to update, streamline and simplify legal documentation and approval frameworks.

•    Review, advise, structure and approve new (and variations of) products, services and digital solutions. Assist Key Business Stakeholders in identifying and mitigating legal liability and other risks related to new product, service and digital solution launches globally. 

•    Assist Key Business Stakeholders in identifying and mitigating legal liability and other risks related to product, service and digital solution exits in the relevant Region/ Country. 

•    Provide effective second line oversight and challenge to risk-taking business activities of Key Business Stakeholders. Working with the Key Business Stakeholders and other risk framework owners, ensure that key risks to the Bank are approved in line with the relevant policy frameworks.

•    Assist the Key Business Stakeholders in driving efficiency and execution excellence with timely, prioritized and streamlined legal advisory and transactional support to support business and client acquisition and retention. This includes providing legal support to Key Business Stakeholders in client onboarding for their products, services and digital solutions globally. This includes (i) client negotiations; (ii) advice on deviations to the Bank’s global template agreements in standard onboarding scenarios; and (iii) advice on complex, bespoke client arrangements involving bespoke contracts.

•    Provide legal support to Key Business Stakeholders by advising on, structuring, drafting and negotiating contracts on multi-jurisdiction service and partnership arrangements with third parties to support our products, services and digital solutions globally.

•    Provide legal support for key digitisation, workflow, process and documentation simplification initiatives to support the Key Business Stakeholders in client and business acquisition and retention.

•    Provide legal support for the Key Business Stakeholders in developing technical capabilities for the future (for example, in AI, Data Science and Quantum Computing), including advising on contractual arrangements with third party collaborators and grant agencies. 

•    Provide product and digital solutions advisory legal support to Regional/ Country Legal when they are supporting Key Business Stakeholders in (1) negotiating client or third party contracts in their respective Region/ Country; (2) advising on extension of new product, service or digital solutions launches into their respective Region/ Country; and (3) advising on product, service or digital solutions exits in their respective Region/ Country.

•    Work with Regional/ Country Legal and other stakeholders (eg. Compliance) to monitor the external environment (such as changes in law and regulations, shifting industry or market practices and litigation affecting competitors or market participants) affecting the Key Business Stakeholders and incorporate such insights into overall legal advisory support for the Key Business Stakeholders.

•    Represent Legal at various risk and governance, performance and workstream review forums of the Key Business Stakeholders.

•    Deliver training to the Key Business Stakeholders, Regional/ Country Legal and other stakeholders.

Our Ideal Candidate

  • 5+ years PQE (Post Qualified Experience) in law 
  • Experience in corporate/commercial and technology contracts is preferred.
  • Strong analysis and logical reasoning expertise
  • Ability to improvise and tailor legal solutions to complex and constantly evolving business contexts.
  • Strong understanding of fundamental concepts of contract law
